(TSX: BLX) (&#8220;Boralex&#8221; or the &#8220;Corporation&#8221;) is pleased to announce that Boralex US Solar CIA LLC, a wholly owned subsidiary of the Corporation, has entered into binding agreements with Centaurus Renewable Energy LLC (&#8220;CRE&#8221;) and certain other investors to acquire their controlling interests in seven solar plants, located in <span class=\"xn-location\">the United States<\/span>, for a purchase price of $CA283 million (<span class=\"xn-money\">US$216.5 million<\/span>).\u00a0 CRE and other investors will retain certain non-controlling interests in the assets resulting in total net installed capacity to Boralex of 118 MWac.<\/p>\n<p>The operating solar plants totaling 209 MWac of gross installed capacity, located in the <span class=\"xn-location\">City of Five Points<\/span>, the <span class=\"xn-location\">City of Huron<\/span>, <span class=\"xn-location\">Kettleman City<\/span>, the <span class=\"xn-location\">City of Lancaster<\/span> and the <span class=\"xn-location\">City of Newman, California<\/span>; <span class=\"xn-location\">Chambers County, Alabama<\/span>; and <span class=\"xn-location\">Indianapolis, Indiana<\/span>, were commissioned between 2014 and 2017. The assets benefit from long-term Power Purchase Agreements (&#8220;PPAs&#8221;) with the Regents of the <span class=\"xn-org\">University of California<\/span>, Alabama Power Company, PG&amp;E, Southern California Edison, <span class=\"xn-location\">City of Palo Alto<\/span>, and Indianapolis Power &amp; Light, expiring between 2029 and 2046 with a remaining weighted average of more than 21.5 years on the PPAs.<\/p>\n<p>Closing of the transaction is currently anticipated to occur on or before <span class=\"xn-chron\">December 31, 2020<\/span>, subject to the satisfaction of usual closing conditions, including receipt of FERC approval for the <span class=\"xn-location\">Lafayette<\/span> and <span class=\"xn-location\">Five Points<\/span> assets. The PPA of the <span class=\"xn-location\">Lafayette<\/span> asset contains a right of first refusal in favor of Alabama Power, pursuant to which the CRE interest in <span class=\"xn-location\">Lafayette<\/span> can be acquired by Alabama Power within sixty days of being notified of a third-party binding offer by matching the proposed purchase price. Boralex does not know whether Alabama Power intends to exercise such right or not. Kettleman was commissioned in <span class=\"xn-chron\">August 2015<\/span> and has a PPA in place with the <span class=\"xn-location\">City of Palo Alto<\/span>, expiring in <span class=\"xn-chron\">August 2040<\/span>, and no longer has any third-party tax equity; <\/p>\n<\/li>\n<li>\n          <b>Frontier <\/b>solar plant (20 MWac) (&#8220;Frontier&#8221;) is located in <span class=\"xn-location\">Newman, CA<\/span> and the sponsor equity is currently owned by CRE (50%) and affiliates of Global Atlantic Financial Group (50%).
