(USOTC: WSGF) (&#8220;WSGF&#8221;) today released a statement from the CEO <span class=\"xn-person\">Bill Justice<\/span> in response to recent shareholder inquiries regarding the company&#8217;s capital structure.\u00a0The statement included in its entirety below, also highlights near term growth plans.<\/p>\n<p>WSGF acquired Vaycacyhella earlier this year and is currently in the process of changing its name to reflect its <a target=\"_blank\" href=\"https:\/\/finance.yahoo.com\/news\/wsgf-introduces-sharing-economy-tech-130000499.html\" rel=\"nofollow noopener noreferrer\">recently announced<\/a> new business direction serving short-term rental property owners and investors participating in the sharing economy sector.\u00a0 <\/p>\n<p>\n        <b>CEO Bill Justice Statement<\/b>\n      <\/p>\n<p>WSGF published its first press release last week after completing the update of its public disclosures in accordance with the rules and guidelines of OTC Markets. WSGF acquired Vaycacychella, a business which is approximately three years old serving short-term rental operators and owners.\u00a0 <\/p>\n<p>The reaction to the first press release was a surprise to us. When we published the release on <span class=\"xn-chron\">November 10<\/span><sup>th<\/sup>, the trading volume and share price appreciation was remarkable.\u00a0The trading volume was almost as remarkable the next day on <span class=\"xn-chron\">November 11<\/span><sup>th<\/sup>, though the share price pulled back the second day.<\/p>\n<p>Since that first release, the company continues to receive a number of emails and calls in response to the market reaction on <span class=\"xn-chron\">November 10<\/span><sup>th<\/sup> and 11<sup>th<\/sup> which largely involve a recurring question \u2013 &#8220;Is the capital structure reported on OTC Markets correct?&#8221;<\/p>\n<p>As of this morning, we continue to receive emails and phone calls with this same question.\u00a0 Accordingly, I decided this statement was in order.<\/p>\n<p>Yes, the capital structure information on OTC Markets is correct.\u00a0The company has 90 million shares authorized and the issued and outstanding is 88 million shares.<\/p>\n<p>The company has not issued shares in approximately 10 years.<\/p>\n<p>The trading volume last week on <span class=\"xn-chron\">November 10<\/span><sup>th<\/sup> and 11<sup>th<\/sup> does not include any undisclosed new share issuances.<\/p>\n<p>Vaycaychella did merge with WSGF for the purpose of gaining access to the investment market for publicly traded companies. Toward that end, the authorized will be increased, and new shares will be issued in conjunction with the company&#8217;s intentions to form capital.\u00a0We intend to make every effort in the future to manage capital structure changes in conjunction with capital formation to fund growth in a manner that fairly represents the interest of both retail investors and investors working directly with the company.\u00a0When changes in the capital structure take place, such changes will be promptly disclosed.<\/p>\n<p>While changes in capital structure may take place in the relatively near future, there was no change last week and no change as of the drafting of this statement.\u00a0There was and remains no undisclosed capital structure change.\u00a0There was and remains no undisclosed increase to issued and outstanding.<\/p>\n<p>We acknowledge that the 300 million shares in trading volume over the course of <span class=\"xn-chron\">November 10<\/span><sup>th<\/sup> and 11<sup>th<\/sup> substantially exceeds the authorized number of shares.\u00a0Accordingly, we recognize the motivation behind inquiring with the company as to the accuracy of the information disclosed on OTC markets.\u00a0We hope this statement sufficiently addresses that question.<\/p>\n<p>We all here at Vaycaychella remain enthusiastic about the prospects for the company&#8217;s future.
