(the \u201cCompany\u201d) today announced that it has priced its offering of $550.0 million aggregate principal amount of 5.375% Senior Notes due 2028 (the &#8220;Notes&#8221;) at an issue price of 100.000%. The closing of the offering is expected to occur on December 1, 2020, and is subject to customary closing conditions.<\/p>\n<p align=\"justify\">The Company intends to use the net proceeds from the offering, together with cash on hand, to fund the refinancing of all of the Company\u2019s outstanding 8.625% Senior Notes due 2024 and to pay related fees and expenses.<\/p>\n<p align=\"justify\">The Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the &#8220;Securities Act&#8221;), and outside the United States, only to non-U.S. investors pursuant to Regulation S under the Securities Act.
