III (NASDAQ: NHIC, \u201cNewHold\u201d), a publicly traded special purpose acquisition company, today announced that its shareholders have approved all proposals related to the previously announced business combination (the \u201cBusiness Combination\u201d) with\u00a0new<\/em>cleo plc (\u201cnew<\/em>cleo\u201d), a public limited company incorporated under the laws of England and Wales (f\/k\/a NewCleo Ltd., a private limited company incorporated under the laws of England and Wales) at NewHold\u2019s Extraordinary General Meeting held today, Thursday, September 17, 2026.<\/p>\n

Approximately 93.4% of the votes cast at the meeting on the Business Combination proposal were in favor of the combination with new<\/em>cleo, representing approximately 72.4% of NewHold\u2019s outstanding shares. The formal results of the vote will be included on a Form 8-K to be filed with the U.S. Securities and Exchange Commission (the \u201cSEC\u201d).<\/p>\n

The closing of the Business Combination is anticipated to occur on or about Monday, September 21, 2026, upon satisfaction of customary closing conditions.
