INV shares fell $1.98 per share, or 55%, to close at $1.62 on August 14, 2026, after the Company reported a second quarter 2026 net loss of $34.9 million, compared with $27.8 million in the first quarter of 2026, and suspended its previously communicated 2026 revenue and cash flow targets for Accelsius. \n How Bookings Were Supposed to Become Revenue<\/strong>\n <\/p>\n

A direct-to-chip liquid cooling supplier does not recognize revenue when an agreement is announced. Revenue follows only after a customer’s site is permitted, built, energized, and ready to accept hardware. Accelsius reported roughly $1.5 million in 2025 revenue, primarily from demonstration units, while the Company pointed investors toward a $100 million annualized revenue run rate and cash flow positivity by year end 2026. The action contends that outlook rested largely on one announced 300MW campus deployment.<\/p>\n

\n Bookings Management and the DarkNX Purchase Order<\/strong>\n <\/p>\n

In a March 30, 2026 investor presentation, Innventure described the DarkNX agreement as “proceeding as expected with initial deliveries expected in 2026,” and subsequent materials touted more than $50 million in total first quarter 2026 bookings. On August 13, 2026, the Company’s Form 10-Q stated that “the deployment site identified in the DarkNX purchase order is no longer available” and that “Accelsius has removed the DarkNX project from its internal bookings.” As set forth in the complaint, no evidence existed that the counterparty had the team, the funding, or an actual site to construct or facilitate a data center campus of that scale.<\/p>\n
