The awards were granted as inducement material to Mr. Kohl\u2019s entering into employment with the Company in accordance with Nasdaq Listing Rule 5635(c)(4).<\/p>\n<p>Of the 2,747,385 RSUs granted to Mr. Kohl, 915,975 RSUs will vest on September 14, 2027 and the remaining RSUs will vest in eight approximately equal quarterly installments, in each case subject to Mr. Kohl\u2019s continued employment with the Company on such vesting date.
