The Compensation Committee of the Board of Directors of Avalo approved the grants of nonstatutory stock options to purchase an aggregate of 78,000 shares of common stock (the \u201cOptions\u201d) as inducements material to the employees entering into employment with the Company in accordance with Nasdaq Listing Rule 5635(c)(4).<\/p>\n<p align=\"justify\">The Options were granted on September 2, 2026 and have an exercise price of $19.34 per share, which is equal to the closing price of Avalo\u2019s common stock on the grant date. The Options will vest as to 25% of the underlying shares of common stock on the one-year anniversary of the applicable employee\u2019s start date of employment, and the balance of the underlying shares of common stock vesting monthly thereafter over 36 months, subject to the applicable employee\u2019s continued service relationship with\u00a0Avalo\u00a0through the applicable vesting dates.
