Six Flags, headquartered in Arlington, Texas, is a leading owner and operator of theme and water parks.
The lawsuit alleges that the Merger registration statement and prospectus failed to present an accurate picture of Six Flags’ financial and operational condition. Six Flags, according to the complaint, had experienced years of underinvestment, leaving its parks requiring substantial capital to remain competitive. These undisclosed challenges, the lawsuit contends, undercut the merger narrative presented to investors.
On July 1, 2024, the Merger closing date, Six Flags stock traded above $55 per share, thereafter, declining to as low as $20, a 64% loss in value.
